Standard Terms of Sale (Wholesale)

Engaging with our wholesale program signifies agreement to a set of structured commercial terms designed to support responsible distribution and long-term brand integrity. These conditions apply once a wholesale application is submitted or once any shipment from us is received. All goods supplied under this arrangement are intended strictly for resale to final consumers through approved physical retail environments. Distributors are expected to operate primarily through in-person sales channels and maintain a traditional storefront presence. Any form of online resale, digital marketplace listing, auction-based selling, or third-party e-commerce activity is prohibited unless explicit written authorization has been granted in advance.

Distribution rights are geographically limited to the country in which the original transaction occurs. Products may not be exported, transferred, or redirected to other territories, especially in cases where exclusive distribution agreements already exist. This territorial restriction is a key part of maintaining balanced market coverage and protecting established partnerships. Any unauthorized cross-border movement of goods will be considered a violation of these terms and may result in termination of the business relationship.

Compliance with international trade laws is a fundamental requirement for participation in our wholesale network. Products must not be sold, shipped, or redirected to regions subject to sanctions or trade restrictions imposed by governmental or international regulatory bodies. Likewise, wholesale partners confirm that they are not operating from, associated with, or controlled by any restricted jurisdiction or listed entity. Should a partner’s compliance status change at any time, immediate corrective action may be taken, including suspension of shipments or cancellation of accounts. In serious cases, outstanding balances will become immediately payable.

All transactions are governed exclusively by our stated terms, which override any conflicting conditions presented in purchase orders or internal procurement documents. Failure to enforce or respond to alternative terms does not constitute acceptance or waiver of our rights. We also retain full discretion to modify pricing structures, product availability, discount programs, and production timelines without prior notice. This flexibility allows us to adapt to market conditions while maintaining operational stability.

Credit and payment arrangements are subject to financial review. While some partners may qualify for open-account terms, we reserve the right to require alternative arrangements such as advance payment, secured credit instruments, or deposit-based processing depending on risk assessment. If additional financial documentation is requested, it must be provided within a specified review period to ensure continued eligibility for wholesale purchasing privileges.

Each order placed through the wholesale channel is subject to final confirmation by our internal approval team. We reserve the right to decline or cancel orders in cases involving inventory limitations, inconsistent billing information, overdue balances, or suspected deviation from approved resale purposes. Order confirmation is established only upon formal acceptance, and shipping schedules may be adjusted to optimize logistics efficiency, including dispatching goods ahead of requested delivery dates when necessary.

Backordered products may be canceled automatically if they exceed allowable fulfillment timeframes, unless alternative arrangements are agreed upon. Invoices are typically issued electronically following shipment and must be settled within the agreed payment period, generally sixty days unless otherwise specified. Timely payment is essential to maintaining active wholesale status and continued access to product supply.

By participating in this program, distributors confirm their commitment to operating in full compliance with all applicable local and international laws governing trade, taxation, and product distribution. This framework is designed to ensure consistency, fairness, and reliability across our global wholesale network while supporting sustainable business relationships and the continued availability of our products in authorized retail environments.
